3. Client Responsibility

The Client shall be solely responsible for all content, data, software, communications, products, services, and activities conducted through the website, application, software, hosting account, SMS platform, WhatsApp platform, or any service provided by NG Softech.

The Client agrees not to use our services for:

Cyber Fraud
Financial Fraud
Phishing Activities
Identity Theft
Online Scams
Money Laundering
Spam Activities
Distribution of Malware or Viruses
Illegal Gambling
Unauthorized Data Collection
Copyright Infringement
Trademark Infringement
Defamatory Content
Hate Speech
Adult Illegal Content
Any activity prohibited by applicable laws

4. No Liability for Client Activities

NG Softech acts solely as a technology service provider.

We do not control, monitor, verify, endorse, or guarantee the legality, accuracy, authenticity, or reliability of any content, transaction, communication, product, or service offered by our Clients.

The Client acknowledges and agrees that:

NG Softech shall not be responsible for any fraud, cybercrime, financial loss, customer dispute, legal violation, or unlawful activity committed by the Client.
The Client shall bear full legal responsibility for all actions performed using the services provided by NG Softech.
NG Softech shall not be liable for any direct, indirect, incidental, consequential, punitive, or special damages arising from Client activities.

5. Compliance With Laws

The Client agrees to comply with:

Information Technology Act, 2000 (India)
Digital Personal Data Protection Act, 2023
TRAI Regulations
Telecom Regulations
WhatsApp Business Policies
Applicable Copyright Laws
Consumer Protection Laws
Anti-Spam Regulations
Any other applicable local, state, national, or international laws

6. Bulk SMS & WhatsApp Messaging Services

The Client agrees that:

Messages will only be sent to recipients who have provided lawful consent where required.
Promotional, misleading, fraudulent, or illegal messages are strictly prohibited.
NG Softech shall not be responsible for message content created or sent by the Client.
Any penalties imposed by telecom operators, regulators, WhatsApp, Meta, government authorities, or third parties due to the Client’s activities shall be the sole responsibility of the Client.

7. Hosting Services

For hosting services:

Clients are solely responsible for all content hosted on their websites or applications.
NG Softech does not review or monitor hosted content.
If any complaint, legal notice, cybercrime complaint, or government directive is received, NG Softech reserves the right to suspend services without prior notice.
NG Softech may cooperate with law enforcement agencies as required by law.

8. Intellectual Property

The Client represents and warrants that all materials, images, text, software, trademarks, logos, videos, and other content provided to NG Softech are legally owned or licensed by the Client.

The Client shall indemnify NG Softech against any intellectual property disputes arising from such materials.

9. Indemnification

The Client agrees to defend, indemnify, and hold harmless NG Softech, its directors, employees, affiliates, partners, and representatives from and against any claims, damages, liabilities, penalties, losses, costs, expenses, legal fees, investigations, or proceedings arising from:

Client’s use of services
Client’s violation of laws
Cyber fraud allegations
Consumer complaints
Regulatory actions
Intellectual property disputes
Data privacy violations

10. Service Suspension & Termination

NG Softech reserves the right to suspend or terminate any service without refund if:

Illegal activity is suspected.
Fraudulent activity is detected.
Government or law enforcement agencies request action.
The Client violates these Terms & Conditions.

11. Limitation of Liability

To the maximum extent permitted by law:

NG Softech’s total liability shall not exceed the amount paid by the Client for the specific service.
NG Softech shall not be liable for loss of profits, business interruption, data loss, reputation damage, or consequential damages.

12. Data Backup

Unless specifically agreed in writing, Clients are responsible for maintaining their own backups of website files, databases, software, applications, and business data.

13. Force Majeure

NG Softech shall not be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, internet outages, cyber-attacks, government actions, power failures, or third-party service disruptions.

14. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India.

15. Jurisdiction

Any dispute arising from these Terms & Conditions shall be subject to the exclusive jurisdiction of the competent courts located in Jaipur, Rajasthan, India.

16. Changes to Terms

NG Softech reserves the right to modify these Terms & Conditions at any time. Updated versions will be published on the official website and shall become effective immediately upon publication.
